Travel Services Addendum

This Travel Services Addendum (this “TSA”) supplements the Agreement or other agreement in place between Customer and Spotnana covering Spotnana’s provision of the Services to Customer (the “Agreement”). All capitalized terms used but not defined in this TSA shall have the meanings ascribed to them in the Agreement.
- Scope. In connection with the Services, Customer and Users may access Travel Services, including the ability to book and manage the airlines, hotel, rail and ground transportation content. The terms in this TSA cover the reservation, purchase and use of Travel Services.
- Authorization of Customer Information. While Customer is responsible for all purchases of Travel Services from Travel Providers, Customer authorizes Spotnana to submit any information that is required for a User to purchase Travel Services, including the name and other personal information of the User and the applicable payment information (the “Travel Service Information”), to the Travel Provider.
- Role of the Parties. Travel Services are provided and managed by Travel Providers. Spotnana operates solely as an intermediary platform to enable Users to purchase Travel Services from Travel Providers and Spotnana does not provide any Travel Service directly. Spotnana is not responsible for the acts or omissions of Travel Providers, including their failure to provide services, adhere to their own schedules, provide services or refunds, financial default, failure to honor future trip credits, or otherwise honor their contracts. Spotnana does not guarantee or verify the provision, accuracy of or availability of any Travel Service. Spotnana has no special knowledge regarding the financial or business condition of any Travel Provider and will not have any liability for recommending any credit in lieu of a refund. Unless otherwise authorized by Spotnana, Travel Services are booked using the credentials (e.g. IATA or equivalent) of a Spotnana TMC Partner or Customer. Spotnana is not responsible for obtaining or maintaining any Travel Credentials or failure of any Spotnana TMC Partner or Customer to obtain or maintain any Travel Credential.
- Travel Provider Terms and Policies
a. Travel Provider’s terms, policies, rules or restrictions of a Travel Provider (“Travel Provider Terms”) apply to the reservation and/or purchase of Travel Services from such Travel Provider on the Spotnana Platform. By purchasing any Travel Services, Customer and Users agree to comply with all Travel Provider Terms and be bound by them. Customer and Users are responsible for reviewing and complying with any Travel Provider’s restrictions or requirements for its Travel Services, including with respect to luggage allowances and restrictions, bag-check and check-in timing requirements, and COVID-19 specific rules and requirements. All purchases of Travel Services are subject to fare rules and any other terms and conditions presented at the time such booking is made, including without limitation, rules regarding refunds and/or cancellations. Unless otherwise indicated, the Travel Provider Terms are between the User purchasing the Travel Service and the Travel Provider. Spotnana is not party to such terms or responsible for complying with them. If any Travel Provider Terms are in conflict with the Agreement, the Agreement (including this TSA), will control all issues relating to the liabilities and responsibilities of Spotnana.
b. Customer understands that any violation of Travel Provider Terms, including timely payment, may result in: (i) Customer or User forfeiting any amounts paid for such reservation or purchase, (ii) cancellation of reservation or purchase, (iii) a User being denied access to any flights, hotels, or any other products or services, and (iv) Spotnana debiting Customer’s account for any costs Spotnana incurs as a result of such violation. Customer further understands: (i) Travel Providers may change their prices without notice prior to reservation or purchase by a User, and (ii) Customer is responsible for all charges, fees, duties, taxes, and assessments arising out of a User’s use of Travel Services. Some Travel Providers may require a User to sign a liability waiver or other forms prior to using their services, and Customer understands that such person’s unwillingness to do so may result in a cancellation of such User’s reservation(s), being denied access to the Travel Provider’s services, and forfeiting any monies paid for such reservation(s), in accordance with applicable Travel Provider Terms. Through the Travel Services, a User may make a reservation for a combination of two one-way air tickets instead of a roundtrip air ticket. Unlike roundtrip air tickets, each one-way ticket is subject to its own rules, restrictions, and fees. If one of these flights is affected by an airline change (e.g., cancellation or rescheduling) that causes an User to make changes to the other flight, Customer acknowledges that it or such User shall be responsible for any fees incurred for making changes to the unaffected flight, including any difference in fare and change/cancellation penalties. If Customer or User have any questions or concerns regarding any Travel Provider Terms, such party must reach out to the applicable Travel Provider directly.
- Legitimate Bookings. Customer is responsible for ensuring Customer and Users use the Travel Services for legitimate reservations or purchases (i.e. for personal or business travel) and will not use any Travel Service for any other purposes, including, without limitation, making any speculative, false, fictitious or fraudulent reservation. Customer will not use, nor permit any User to use any Services from a country prohibited under U.S. export and/or Office of Foreign Assets Control regulations, including, without limitation, regulations based upon sanctions, country programs against, or embargoes. Customer shall become unauthorized to use any Services in the event of a breach of these obligations, and shall indemnify and hold harmless Spotnana and Travel Providers for any breach of this section.
- Disclaimers.
a. Spotnana does not guarantee the description of the Travel Services and the accuracy of the information displayed on the Services (including, without limitation, the summary of the Travel Service (including a summary of the fare rules), the photographs, list of hotel amenities, pricing, general product descriptions, etc.). Spotnana disclaims any and all liability for any inaccuracies or other errors relating to the Travel Services except to the extent such errors are introduced or caused by a willful act of Spotnana. Spotnana expressly reserves the right to correct any pricing errors on the Services and/or pending reservations made under an inaccurate and/or incorrect price.
b. By offering reservations for Travel Services via the Services, in particular for international destinations, Spotnana does not represent or warrant that travel to such areas is advisable or without risk, and is not liable for damages or losses that may result from travel to such destinations. The Travel Providers are independent contractors and not agents, subcontractors, or employees of Spotnana. Spotnana disclaims all liability relating to the actions or inactions of Travel Providers or to any Travel Services, including any actions or inactions that result in any personal injuries, death, property damage, or other damages to Customer or a User. Spotnana has no liability to Customer or any User and will make no refund in the event of any delay, cancellation, overbooking, strike, force majeure or other causes beyond Spotnana’ control.
c. Spotnana assumes no responsibility for and shall not be liable for unsafe conditions or health hazards including pandemics or other illnesses. Spotnana has no special knowledge of dangers during travel or at destinations. For information related to the risks of traveling to a destination, Spotnana recommends Users visit the applicable section of their local government’s website on international travel (for Users based in the United States, this information is typically available on the State Department’s travel website). Spotnana is not responsible for any local requirements that Travel Providers or governments may impose on travelers from time to time, such as health affidavit forms, health screenings prior to departure or upon arrival, face coverings, or quarantines.
d. TRAVEL PROVIDERS ARE INDEPENDENT CONTRACTORS, INDEPENDENT DATA CONTROLLERS, AND NOT EMPLOYEES OR AGENTS OF SPOTNANA. WE ACT SOLELY AS A BOOKING PLATFORM FOR TRAVEL PROVIDERS AND ARE NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, OR NEGLIGENCE OF ANY SUCH TRAVEL PROVIDER OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, LOSS, ACCIDENT, DELAY, IRREGULARITY, OR ANY OTHER DAMAGES OR EXPENSES RESULTING THEREFROM, WHETHER DIRECTLY OR INDIRECTLY. SPOTNANA HAS NO LIABILITY LIABILITY AND WILL MAKE NO REFUND IN THE EVENT OF ANY DELAY, CANCELLATION, OVERBOOKING, SCHEDULE CHANGE, CESSATION OF OPERATIONS, LABOR DISPUTE, STRIKE, ACTS OF GOVERNMENT, ACTS OF WAR, TERRORISM, DISEASE, QUARANTINE, WEATHER OR OTHER FORCE MAJEURE EVENT OR OTHER CAUSE BEYOND OUR DIRECT CONTROL (EXCEPT WHERE REQUIRED UNDER APPLICABLE CONSUMER PROTECTION LAW). SPOTNANA HAS NO RESPONSIBILITY FOR ANY ADDITIONAL EXPENSE, OMISSIONS, DELAYS, OR RE-ROUTING CAUSED BY ANY ACTS OR OMISSIONS OF ANY TRAVEL PROVIDER OR GOVERNMENTAL AUTHORITY. THE FACT THAT SPOTNANA INCLUDES OR OFFERS ANY TRAVEL PRODUCT OR TRAVEL SERVICE ON THE SPOTNANA PLATFORM DOES NOT MEAN WE ARE ENDORSING OR RECOMMENDING SUCH PRODUCT OR SERVICE. ANY AND ALL CLAIMS REGARDING ANY PRODUCTS AND SERVICES OFFERED THROUGH THE TRAVEL SERVICES ARE LIMITED TO CLAIMS AGAINST THE TRAVEL PROVIDER OF SUCH PRODUCTS AND SERVICE. SPOTNANA HEREBY DISCLAIMS ANY LIABILITY, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, INCLUDING WITHOUT LIMITATION LIABILITY FOR ANY DIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL, INCIDENTAL OUR INDIRECT DAMAGES, IN CONNECTION WITH PRODUCTS OR SERVICES PROVIDED BY ANY TRAVEL PROVIDER THROUGH THE TRAVEL SERVICES, INCLUDING, WITHOUT LIMITATION, LIABILITY FOR ANY ACT, ERROR, OMISSION, INJURY, DEATH, PROPERTY DAMAGE, LOSS, ACCIDENT, DELAY, IRREGULARITY OR ANY OTHER DAMAGES OR EXPENSES WHICH MAY BE INCURRED THROUGH THE FAULT, NEGLIGENCE, OR OTHERWISE, OF SUCH TRAVEL PROVIDER AND YOU HEREBY EXONERATE US FROM ANY LIABILITY WITH RESPECT TO THE SAME.
- Charges.
a. At the time of reservation/purchase, Customer’s (or User’s, if authorized by Customer) credit/charge card may be charged the total cost of the Travel Provider products and services selected for a booking, including taxes and fees (but excluding any mandatory hotel-imposed charges that may be applicable upon check out from the hotel). Customer may see separate charges on its credit/charge card statement (from Spotnana and from the Travel Providers you selected). If applicable, certain mandatory hotel-imposed charges are payable to the property upon check-out (e.g., mandatory resort fees); any incidental charges that an User makes during their stay will be charged by the property upon check-out, including but not limited to parking, phone calls, internet access and room service. Some properties have age requirements that Customer will be responsible for checking and confirming on behalf of any Users. Trips booked on the Spotnana Platform include the travel products/services that an User selected; therefore, if baggage, seat-selection, or similar ancillary items were not included in those products/services, additional Travel Provider fees may apply. If an User purchases a flight, this flight is not confirmed until ticketed.
b. Only items and fees explicitly advertised as included in the price of a Travel Service will be included as part of Travel Service’s advertised price. Travel Providers provide Spotnana with the price, availability and other information related to the Travel Services. If a Customer or User believes that a Travel Service is listed at an incorrect price or with incorrect information, Customer or User should notify Spotnana and Spotnana will investigate such inquiry with the applicable Travel Provider. If any Travel Service is provided to Spotnana at an incorrect price or with incorrect information, Spotnana may refuse or cancel purchase of such Travel Service until the error is corrected.
c. Travel Services involving airline and cruise components are subject to Travel Providers’ supplemental price increases that may be imposed by the Travel Provider and/or government, even after a User has completed a purchase. By booking a Travel Service, User and Customer hereby consent to any such price increases and authorize the credit or debit card on the applicable Account to be used for them.
d. Fares or prices for Travel Services will be in local currency where available depending on the Travel Provider. If a fare or price for a Travel Service is not available in local currency, User or Customer will be required to purchase the Travel Service in United State Dollars unless otherwise agreed to by Spotnana. Rates for Travel Services are based on tariffs and exchange rates in effect at the time of posting and are subject to change prior to departure. Substantial changes in tariffs, exchange rates, the price of fuel, services and labor sometimes increase the cost of Travel Service arrangements significantly.
- Cancellations or Modifications.
a. Cancellations or Modifications attributable to User. Cancellations, transfers and alterations of Travel Services vary by Travel Provider and are subject to the Travel Provider Terms of each Travel Provider. Spotnana urges all Users to carefully review the Travel Provider Terms relating to a Travel Service and be aware of the Travel Provider’s rules or restrictions Customer is responsible for any and all charges and fees levied by the Travel Provider in connection with any such cancellation, substitution, no-show, or other alteration (each, a “Change”). Any refunds payable to a User for Change will be determined based on the policy of the Travel Provider.
b. Cancellations and/or Alterations not attributable to User. Due to Force Majeure or Travel Provider requests, changes and/or cancellations may need to be made to confirmed purchases. While Spotnana endeavors to avoid changes and cancellations, we must reserve the right to do so and to substitute alternative arrangements of comparable monetary value. Spotnana reserves the right to adjust the Travel Service or change the modes of ground and air travel, change the quality of accommodations or otherwise change the Travel Service without prior notice if required by the Travel Provider. We accept no liability as a result of these changes. Any additional charges incurred arising from the postponement, delay or extension of a trip or adjustment to the itinerary due to Force Majeure will be either the Customer or an User’s responsibility. Spotnana will attempt to provide Users’ with advanced notice of any changes to a trip or Travel Services to the extent commercially possible.
c. Insurance: For your protection, we strongly recommend that Customer and Users have access to trip cancellation and travel accident insurance. Please note that, unless an User buys a cancel-for-any-reason policy, most policies have a specific clause stating they do not cover epidemics and pandemics, especially when travel warnings are in place. Spotnana will not be responsible for a Customer or any User’s election to not purchase travel insurance or for any denial of claim by travel insurance.
- Passports, Visas, Reciprocity Fees, and Travel Health Requirements Customer and any User assumes full and complete responsibility for checking and verifying any and all passport, visa, vaccination, or other entry requirements of the destination and connecting points, and all conditions regarding health, safety, security, political stability, and labor or civil unrest at such destination with respect to Trips booked on the Spotnana Platform. Many countries have restrictions or rules relating to travel documents, including the requirement that a traveler’s passport must be valid for six months or more after date of entry or the consent of both parents with respect to travel of a minor. Some countries will not admit persons convicted of a crime. Spotnana is not responsible for verifying, checking or complying with any such requirements.
- Credit Card Merchant. Spotnana does not operate as the merchant of record or agency of record on any trip or booking without its consent. If Spotnana does operate as a merchant of record for any booking, Customer will reimburse Spotnana for any payment processing fees incurred with such booking. Customer understands that if we are the merchant of record, our role is to facilitate the sale, collect funds on your behalf, and remit those funds to the applicable Travel Providers. If the Travel Providers do not provide the Travel Services, Customer’s and any User’s only recourse would be against the applicable Travel Provider, and Customer agrees, on behalf of itself and its Users, not to initiate a chargeback or other penalties against us.
- CLAIMS DEADLINE — YOU AGREE TO PRESENT ANY CLAIMS AGAINST US RELATING TO TRAVEL SERVICES WITHIN 30 DAYS AFTER YOUR TRIP ENDS AND TO FILE SUIT WITHIN ONE YEAR OF THE INCIDENT, AND YOU ACKNOWLEDGE THAT THIS EXPRESSLY LIMITS THE APPLICABLE STATUTE OF LIMITATIONS TO ONE YEAR.
- EU Package Travel Directive. The EU Package Travel Directive (Directive (EU) 2015/2302 of the European Parliament and of the Council of 25 November 2015 on package travel and linked travel arrangements) does not apply to travel or Travel Services purchased through Spotnana.
- Seller of Travel Registration Information. Customer understands that the “seller of travel” for bookings will be a Spotnana TMC Partner unless otherwise agreed to by Spotnana. In cases where Spotnana agrees to operate as the “seller of travel”, Spotnana is registered with the California Department of Justice for such purpose (2146606). Spotnana does not guarantee to maintain any “seller of travel” credentials and Customer should not rely on such credentials or expectation thereof in any circumstances.
